Overview
These Wholesale Terms of Service ("Terms") govern the wholesale purchasing relationship between Maui CBD, a brand of Maui Superherbs LLC ("we," "us," or "our") and any approved wholesale partner ("Retailer," "you," or "your"). By submitting a wholesale application or placing a wholesale order, you agree to be bound by these Terms. These Terms apply exclusively to wholesale accounts and do not govern retail consumer transactions.
Maui CBD products are exclusively distributed by Happy Hawaiian Herbalist LLC. All wholesale orders, fulfillment, and account management are handled by Happy Hawaiian Herbalist LLC on behalf of Maui Superherbs LLC.
Wholesale Account Approval
Wholesale accounts are subject to approval at our sole discretion. Submission of a wholesale application does not guarantee account approval. We reserve the right to decline any application without cause. Approved wholesale accounts are non-exclusive. We reserve the right to sell our products to any retailer in any geographic area without limitation or obligation to existing wholesale partners.
Minimum Orders
A minimum opening order of $600 is required to establish a new wholesale account. Subsequent reorders must meet a minimum order amount of $200. Orders that do not meet the minimum reorder requirement may be subject to a $20 small-order fee or declined at our discretion.
Minimum order requirements apply per brand and are not transferable or combinable across brands. Special arrangements for established accounts may be made at the sole discretion of Happy Hawaiian Herbalist LLC.
Pricing
Wholesale pricing is provided upon account approval. All prices are listed in US dollars. We reserve the right to update wholesale pricing at any time. We will provide a minimum of 14 days' written notice via email before any price increases take effect. Price changes will not affect orders already confirmed and invoiced prior to the notice period.
Payment Terms
All wholesale orders require payment in full prior to shipment. Established wholesale partners in good standing may be eligible for Net 15 payment terms at our sole discretion. Payment is accepted via a payment link issued by Maui CBD through our authorized payment processor. Orders will not be fulfilled until payment has been received and confirmed.
Order Processing and Fulfillment
Orders are processed within 14 business days of confirmed payment. We are a small-batch, artisan botanical operation, and we ensure every order meets our quality standards before shipment. Rush orders may be accommodated upon request, depending on current production capacity. Additional fees may apply for expedited fulfillment.
Shipping
All wholesale orders ship from Maui, Hawaii. Wholesale partners are responsible for all shipping costs unless otherwise stated in writing. Shipping charges will be reflected on your invoice before payment. Returns and Exchanges
All wholesale orders are eligible for exchange only. We do not offer cash refunds on wholesale orders. Please refer to our Wholesale Return and Exchange Policy for full details on eligibility, timelines, and procedures.
Resale Restrictions
Approved wholesale partners may resell Maui CBD products only through their retail business. Resale or redistribution to other wholesalers or distributors is not permitted without prior written authorization from Maui CBD.
Product Claims
Wholesale partners may not make any health claims, therapeutic claims, or medical claims about Maui CBD products beyond what is expressly stated in our official product descriptions and labeling. This includes but is not limited to:
Claims that products diagnose, treat, cure, or prevent any disease or medical condition
Claims about specific health benefits not stated in our official product materials
Testimonials or endorsements that imply medical or therapeutic efficacy
Unauthorized product claims may result in immediate account termination and may expose the Retailer to legal liability. Maui CBD is not responsible for any claims made by wholesale partners that are not authorized in writing.
Brand Representation
Wholesale partners agree to represent the Maui CBD brand professionally and accurately. You may use our approved product images, descriptions, and brand materials to sell our products. You may not alter, modify, or misrepresent our brand, products, or packaging in any way.
Account Termination
Maui CBD reserves the right to terminate any wholesale account at any time for the following reasons, including but not limited to:
Violation of these Terms
Unauthorized resale on restricted platforms
Making unauthorized product claims
Non-payment or repeated payment issues
Conduct that damages the reputation of Maui CBD
Any activity that violates applicable laws or regulations
Upon account termination, all outstanding invoices become due and payable immediately. We reserve the right to refuse future wholesale applications from accounts that have been terminated.
Limitation of Liability
Maui CBD shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use our products or from any interruption in supply. Our total liability to any wholesale partner shall not exceed the total amount paid for the specific order giving rise to the claim.
Indemnification
You agree to indemnify and hold harmless Maui CBD, its owners, employees, and agents from any claims, damages, losses, or expenses, including legal fees, arising from your use or resale of our products, your violation of these Terms, or any unauthorized claims you make about our products.
Governing Law
These Terms are governed by the laws of the State of Hawaii. Any disputes arising from these Terms or your wholesale account shall be resolved in the courts of Maui County, Hawaii.
Changes to These Terms
We reserve the right to update these Terms at any time. We will notify active wholesale partners of any material changes via email with reasonable advance notice. Continued use of your wholesale account following notification constitutes acceptance of the updated Terms.
